Areas of Practice
Louis provides general corporate law and transport regulatory advice to air, rail and highway-carriers, shippers, warehouse operators, load brokers, logistics providers, international air and ocean freight forwarders and other freight intermediaries that range in size from multi-national transportation conglomerates to smaller, privately-owned businesses and start-ups. He also advises leasing companies, financiers and other service providers to the transportation industry.
His practice covers all aspects of regulatory compliance, licensing and safety matters under federal and Ontario law, as well as claims for cargo loss, damage or delay. Louis has acted for municipalities and private operators in connection with the road and rail regulatory matters and the establishment and safe operation of public transit and inter-city motor coach services. He frequently advises foreign and domestic carriers, manufacturers, exporters and importers on the movement of goods across international borders, including their obligations under the Customs Act and the North American Free Trade Agreement, and has represented clients during trade compliance verifications by the Canada Border Services Agency and in connection with administrative monetary penalties, seizures and other sanctions.
In the automotive sector, Louis represents automobile manufacturers, dealers, distributors, importers and lessors, as well as Tier 1 and other parts suppliers in connection with supply contracts and regulatory compliance, purchase order terms and conditions and warranty claims, and the establishment and management of dealer networks in Canada.
Louis has served as lead counsel in mergers, acquisitions, divestitures, restructurings, venture capital and private equity financings in various industry sectors, including the purchase, sale, lease or financing of road and rail transport equipment. He has extensive experience in the negotiation of a broad range of commercial contracts of interest to the transportation, automotive and manufacturing industries, including carriage of goods, joint venture, warehousing, load brokerage, logistics, owner-operator, broker-carrier, broker-shipper, franchise, supply and distribution agreements.
Louis is a Past President of the Canadian Transport Lawyers Association, an independent bar association whose members assist providers and commercial users of transportation and logistics services. He has written a number of articles and papers for the transportation bar, and is a frequent lecturer to industry participants.
